Wholesale Terms

Eligibility & Approval

Wholesale purchasing is available only to businesses and professional buyers approved by EUBEAN.

We may request information reasonably necessary to assess a wholesale application, including business details, market, sales channel, and intended use or resale of EUBEAN products.

Approval of a wholesale account does not create an obligation for EUBEAN to accept every future order.

Orders & Minimum Quantities

Minimum order quantities or minimum order values may apply depending on the product, destination, and commercial arrangement.

• All orders are subject to product availability.
• An order is binding only once accepted or confirmed by EUBEAN.
• Availability shown or discussed before confirmation is not guaranteed.
• Product quantities may be limited where supply is constrained.

Where a quotation or pro forma invoice is issued, the terms stated in that document apply to the relevant order together with these Wholesale Terms.

Pricing

Wholesale pricing is provided to approved partners and may depend on product, quantity, order frequency, destination, and other commercial factors.

Unless expressly stated otherwise, prices are quoted in euros and exclude VAT, shipping, customs charges, duties, and other applicable taxes or costs.

EUBEAN may revise wholesale pricing for future orders. Any price change will not alter an order that has already been accepted at an agreed price unless both parties agree otherwise.

Payment Terms

Payment terms are stated on the applicable quotation, pro forma invoice, invoice, or written commercial agreement.

• Full payment in advance may be required.
• Credit terms apply only where expressly approved by EUBEAN.
• Payment must be made using an agreed payment method.
• Bank or transfer charges may be allocated as stated on the invoice.

Where payment becomes overdue, EUBEAN may suspend further deliveries, withhold new orders, or require outstanding amounts to be settled before further supply.

Statutory interest, recovery costs, or other rights relating to late payment may apply where permitted by applicable law.

Shipping & Delivery

Shipping arrangements, delivery method, charges, and estimated delivery times may be agreed separately for each wholesale order.

Unless otherwise agreed in writing, risk in the goods passes to the wholesale customer upon physical delivery to the agreed delivery location or other agreed point of transfer.

Where specific Incoterms or other delivery terms are agreed in writing, those agreed terms take precedence for the relevant order.

Inspection, Shortages & Claims

Wholesale customers should inspect deliveries promptly after receipt and notify EUBEAN of any visible damage, shortage, or incorrect items within a reasonable period.

A claim should include sufficient information for us to review the issue, which may include:

• Invoice or order number
• Product and quantity affected
• Description of the issue
• Photographs where relevant
• Batch or lot information where available

Failure to report an obvious issue promptly may affect our ability to investigate it, without limiting rights that cannot lawfully be excluded.

Returns

Wholesale orders are generally not returnable merely because stock remains unsold or the buyer changes its commercial requirements.

Returns may be accepted where agreed by EUBEAN, including where:

• Incorrect products were supplied.
• Products were defective at the time responsibility passed to the buyer.
• A return is otherwise agreed in writing.

No product should be returned without prior written approval and instructions from EUBEAN.

Storage & Product Handling

Wholesale partners are responsible for storing and handling EUBEAN products in accordance with the product label, applicable food-safety requirements, and any storage guidance supplied with the goods.

Products must be protected from inappropriate temperature, moisture, contamination, damaged packaging, or other conditions that may affect product integrity.

EUBEAN is not responsible for deterioration or loss caused after delivery by improper storage, mishandling, repacking, modification, or use contrary to provided instructions.

Resale & Regulatory Compliance

Wholesale partners are responsible for ensuring that their resale activities comply with the laws and regulatory requirements applicable to their business and market.

• EUBEAN products must not be falsely described or misrepresented.
• Mandatory product information must not be removed or obscured.
• Products must not be relabelled or repackaged without prior written approval where such approval is required.
• Retailers must not make unauthorised medical, therapeutic, or other prohibited claims about EUBEAN products.
• Products must not be sold after their applicable durability or expiry period.

Brand & Intellectual Property

The EUBEAN name, logos, packaging, photographs, product descriptions, and other brand materials remain the intellectual property of EUBEAN or the relevant rights holder.

Approval as a wholesale partner does not transfer ownership of any EUBEAN intellectual property.

EUBEAN brand assets may be used only for legitimate promotion and resale of authorised EUBEAN products and in accordance with any brand guidelines or instructions provided.

Online Marketplaces & Sales Channels

Wholesale approval does not automatically authorise resale through every marketplace, platform, country, or third-party sales channel.

Where EUBEAN has communicated restrictions concerning a particular marketplace, territory, or sales channel, the wholesale partner must obtain written approval before offering products through that channel.

Product Recall & Safety Cooperation

Wholesale partners must cooperate reasonably with EUBEAN where product tracing, withdrawal, recall, safety investigation, or regulatory action becomes necessary.

Where requested, partners should provide relevant sales, inventory, batch, and distribution information necessary to identify affected products.

Confidential Information

Non-public wholesale pricing, commercial terms, quotations, customer-specific conditions, and other confidential business information supplied by EUBEAN must not be disclosed to third parties except where disclosure is required by law or expressly authorised.

Limitation of Liability

To the extent permitted by applicable law, EUBEAN will not be liable for indirect, incidental, or consequential commercial losses arising from a wholesale transaction, including loss of anticipated profit, business opportunity, or goodwill.

Where liability can lawfully be limited, EUBEAN’s aggregate liability relating to a particular wholesale order will not exceed the amount paid or payable for the goods giving rise to the claim.

Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

Suspension or Termination

EUBEAN may suspend or terminate a wholesale relationship where there are reasonable commercial, legal, regulatory, payment, brand-protection, or compliance grounds for doing so.

Termination of the relationship does not affect amounts already due, obligations arising from previously accepted orders, confidentiality, intellectual-property obligations, or other provisions intended to survive termination.

Governing Law & Jurisdiction

Unless otherwise expressly agreed in writing, these Wholesale Terms and the contractual relationship between EUBEAN and the wholesale customer are governed by the laws of Bulgaria.

Subject to any mandatory rules that apply, disputes arising from the wholesale relationship will be submitted to the competent courts in Bulgaria, unless the parties have agreed another valid jurisdiction arrangement in writing.

Order-Specific Terms

A quotation, invoice, distribution agreement, supply agreement, or other written arrangement may contain terms that differ from these general Wholesale Terms.

Where there is a conflict, expressly agreed order-specific or contractual terms take precedence for that transaction to the extent of the inconsistency.
